“GREAT GROCERY GIVEAWAY” TERMS & CONDITIONS

• Eligibility – Great Grocery Giveaway (“Promotion”) is open only to legal residents of the fifty (50) United States (and the District of Columbia), who are at least eighteen (18) years old at the time of entry. Void where prohibited by law. Proof of residency and age may be required. Employees, contractors, and immediate family members of Passionate Penny Pincher (“Sponsor”) are not eligible to participate. Immediate family members shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. To enter the Promotion or receive a prize, Participant (“Participant”) must fully comply with these Terms & Conditions and, by entering, Participant represents and warrants that he or she agree to be bound by these Terms & Conditions and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to this Promotion. The Promotion is governed by these Terms & Conditions and is subject to all applicable federal, state, and local laws. 

• Sponsor – The Great Grocery Giveaway (“Promotion”) is sponsored by Passionate Penny Pincher, Inc. (“Sponsor”).

• Promotion Period – The Promotion begins on February 2, 2026 and ends on February 28, 2026 (“Promotion Period”). Entries submitted outside this period will not be accepted.

• How to Enter – No purchase necessary to enter or win. A purchase or payment of any kind will not increase your chances of winning. The maximum amount of entries, via the link or making a qualifying purchase, is one (1) per Participant. 

1. Free Alternative Method of Entry (AMOE): To enter without making a qualifying purchase, fill out the form by clicking the link at https://shop.passionatepennypincher.com/pages/membership-landing-page. An entry via the link will earn the equivalent of one (1) entry. Participants can enter one (1) time via the link if no qualifying purchase has been made; or

1. Enter by making a qualifying purchase of Grocery by Passionate Penny Pincher Annual Plus during the Promotional Period. This qualifying purchase will earn the equivalent of one (1) entry; or

1. Enter by making a qualifying purchase of Grocery by Passionate Penny Pincher Monthly plan during the Promotional Period. This qualifying purchase will earn the equivalent of one (1) entry.

• Prize – Total, aggregate giveaway equals $5,000. Ten (5) winners will receive $1,000 each in the form of a gift card to be used toward groceries (“Prize”). Prize is non‑transferable and may not be substituted except at Sponsor’s discretion. The winner (“Winner”) is responsible for all related taxes or any additional costs not expressly stated herein.

• Winner Selection – Winner will be selected in a random drawing from all eligible entries received. Drawings will occur during the first week of March, 2026. Odds of winning depend on the number of eligible entries received.

• Verification of Potential Winner – POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR. Sponsor’s decisions are final and binding in all matters related to the administration and operation of the Promotion. Potential Winner may be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where permitted by law) (collectively, the “Affidavit”) by the date specified by Sponsor, or an alternate potential Winner may be selected.

• Winner Notification – Winner will be notified via email or phone within seven (7) days of the drawing. If the Winner does not respond within seven (7) days, an alternate Winner may be selected. Sponsor is not responsible for failed notifications due to spam filters, incorrect contact information, or technical issues. Sponsor reserves the right to modify the notification and Affidavit procedures in connection with the selection of an alternate Winner, if any. 

• Entry Conditions and Release – Each Individual agrees to: (a) comply with and be bound by these Terms & Conditions and the decisions of Sponsor which are binding and final in all matters relating to this Promotion; (b) defend, indemnify, release and hold harmless the Sponsor and its respective parent, subsidiary, and affiliated companies, celebrities, and any other person and organization responsible for sponsoring, fulfilling, administering, advertising or promoting the Promotion, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a Participant’s entry, submission of an entry, participation in the Promotion, acceptance, possession, inability to use, use or misuse of and/or the broadcast, exploitation or use of entry. Winner acknowledges that all prizes are awarded as-is without warranty of any kind. 

• Publicity and Marketing Conditions – By entering, participants agree that the Sponsor may use their name, likeness, and entry for promotional purposes without additional compensation or consideration, unless prohibited by law. Except where prohibited or restricted by law, Winner’s acceptance of Prize constitutes the Winner’s agreement and consent for Sponsor and any of its designees to use and/or publish Winner’s full name, city and state of residence, photographs or other likeness, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding the Promotion or Sponsor, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, without further limitation, restriction, compensation, notice, review, or approval. 

• General Conditions – Sponsor and its subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any prize to Participant, with regard to: (a) entries that contain inaccurate information or violate or do not comply with the Terms & Conditions; (b) entries that are lost, late, incomplete, or corrupted, (c) Participants who have committed fraud or deception in entering or participating in the Promotion or claiming the Prize; (d) technology malfunctions, failures or difficulties; (e) any inability of the Winner to accept the Prize for any reason; or (f) any damages, injuries or losses of any kind caused by any prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any prize or resulting from participating in this Promotion or any promotion or prize related activities. Sponsor reserves the right to cancel, modify, or suspend the Promotion if fraud, technical failures, or any other factor impairs the integrity of the Promotion. Sponsor reserves the right, in its sole discretion, to disqualify any Participant who has threatened the integrity of this Promotion. 

• Limitations of Liability – The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Participants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind including, but not limited to, malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Promotion or receipt or use or misuse of any prize. If, for any reason, a Participant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Participant’s sole remedy is another entry in the Promotion, provided that, if it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. Sponsor is not responsible for typographical or other errors in the offer or administration of this contest including, but not limited to, errors in advertising, the Terms & Conditions, the selection and announcement of winners, or the distribution of any prize. Sponsor is not liable for lost, late, stolen or misdirected entries. The Released Parties: (1) make no warranty, guaranty or representation of any kind concerning any prize; (2) disclaim any implied warranty; and (3) are not liable for injury, loss, or damage of any kind resulting from the acceptance or use of any prize. By entering this Promotion, Participant agrees to be bound by these Terms & Conditions and all decisions of the judging organization. If any activity relating to any prize is canceled or postponed for any reason, the balance of that prize will be awarded in full satisfaction of prize award. 

• Disputes – Participant agrees that (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved exclusively by the appropriate [Tennessee] court in [Williamson] County (b) any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments and awards shall be limited to costs of entering this Promotion; and (d) Participant waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for costs of entering this Promotion, and any and all rights to have damages multiplied or otherwise increased. THE ABOVE DOES NOT APPLY TO PARTICIPANTS IN JURISDICTIONS THAT DO NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. The Promotion is governed by the laws of the state of Tennessee, without regard to conflict‑of‑law principles, which would cause the application of the laws of any jurisdiction other than the State of Tennessee.
